The Nigerian Electricity Regulatory Commission (NERC) has dissolved the Board of Directors of Kaduna Electricity Distribution Company (KAEDC) and appointed an interim management team to oversee its operations.
This was disclosed in a regulatory order dated August 10, 2026, signed by NERC Chairman, Musliu Oseni and Commissioner for Legal, Licensing and Compliance, Dafe Akpeneye.
According to the Commission, a seven-member interim board has been constituted. Members include Dr. Abdullahi Garba, Engr. Francis U. Agoha, Mr. Aliyu E. Aliyu, Major General Henry E. Ayamasaowei (rtd.), Dr. Haliru Dikko, Mr. Ayodeji A. Gbeleyi (representing the Bureau of Public Enterprises), and Dr. Abubakar Umar Hashidu.
NERC also confirmed the appointment of Dr. Abubakar Umar Hashidu, the current Managing Director/Chief Executive Officer of KAEDC, as Administrator for an initial six-month term, subject to further review by the Commission.
The regulator explained that the decision to dissolve the board was necessitated by persistent challenges within the company. These include prolonged regulatory and market defaults, inadequate investment, weak operational and commercial performance, insufficient assets relative to liabilities, and the absence of a credible recovery plan.
In its directive, NERC stated: “KAEDC’s Board of Directors is hereby dissolved. All directors are removed from office, and the existing board stands dissolved pursuant to Section 75 of the Electricity Act.”
The Commission further noted that it has notified the Corporate Affairs Commission (CAC) and other relevant stakeholders of the development. It added that the CAC has been directed not to register or give effect to any changes in the company’s shareholding structure, directorship, or constitutional records during the transition period without prior written approval from the Commission.
The intervention is aimed at stabilising the utility and setting it on a path toward sustainable recovery.
